DISPOSIZIONI GENERALI

Le presenti Condizioni Generali di Vendita (nel seguito, Condizioni Generali) sono valide esclusivamente tra KNOT S.R.L. (rea_______ e codice fiscale/P.IVA n. 03264720248), con sede in Caldogno (VI), via Firenze n. 26, nella persona del suo legale rappresentante pro-tempore, Roberto Lorenzi (nel seguito Knot) e qualsiasi Cliente ed hanno ad oggetto la disciplina dell’acquisto dei prodotti e dei servizi, effettuato tramite rete internet, dal sito www.læzi.com (di seguito Sito).

I prodotti disponibili sul sito sono costituiti principalmente da prodotti di abbigliamento uomo-donna (vestiti, calzature, ecc.) ed accessori (gioielli, occhiali, cappelli e borse) con marchio ed insegna “knot” servizi resi disponibili dal sito sono quelli connessi con la vendita degli anzidetti prodotti. Tutti i prodotti e servizi offerti sono dettagliatamente illustrati nella home page del Sito all’interno delle rispettive sezioni.

Le disposizioni di cui alle presenti Condizioni Generali si applicano indistintamente a tutti i Clienti, ad eccezione delle disposizioni per le quali sia stata espressamente prevista l’applicabilità ai soli Clienti Consumatori. Per “Cliente Consumatore” si intende la persona fisica che acquisti i prodotti o servizi offerti dal Sito per scopi estranei all’attività imprenditoriale o professionale eventualmente svolta; agli effetti delle presenti Condizioni Generali si presume che non sia Cliente Consumatore quel Cliente che invii una proposta d’acquisto inserendo contestualmente la propria partita IVA nonché il codice SDI nell’area del sito relativa ai dati anagrafici del Cliente.

Knot invita ciascun Cliente a leggere con attenzione, prima di effettuare ciascuna operazione d’acquisto, le presenti Condizioni Generali, e, una volta conclusa la procedura d’acquisto prevista dal Sito, a stamparle ed a conservarne copia, anche in formato elettronico, fermo restando che nella e-mail di conferma dell’ordine il Cliente riceverà, in ogni caso, il link per accedere alla pagina web dove le Condizioni Generali sono pubblicate, e quindi potrà archiviare all’atto dell’acquisto una copia delle predette condizioni generali di vendita, vigenti al momento dell’acquisto, come previsto dall’art. 51, comma 1, del D. Lgs. 206/2005, come modificato dal D. Lgs. 21/2014.

ART. 1: OGGETTO DEL CONTRATTO – OFFERTA AL PUBBLICO

Nel rispetto ed in conformità alle presenti Condizioni Generali Knot vende ed il Cliente acquista a distanza i prodotti indicati ed offerti in vendita sul sito www.læzi.com . Il contratto si conclude esclusivamente attraverso la rete internet, mediante l’accesso del Cliente all’indirizzo www.læzi.com e la realizzazione di un ordine d’acquisto secondo la procedura prevista dal sito stesso.

Il Cliente, prima di procedere alla conferma del proprio ordine, si impegna a leggere le presenti Condizioni Generali e ad accettarle mediante il click sul bottone ‘Conferma Ordine’, dichiarando così di avere letto ed accettato tali Condizioni Generali.

I prodotti ed i servizi con i relativi prezzi presenti sul Sito costituiscono un’offerta al pubblico conformemente alle modalità precisate nelle Condizioni Generali e su www.læzi.com

Le condizioni di tale offerta si applicano esclusivamente agli acquisti effettuati sul sito web sopra indicato.

ART.2: INFORMAZIONI PRE CONTRATTUALI PER IL CONSUMATORE ex art. 49 del D.Lgs. n. 206/2005

Il Cliente, prima della conclusione del contratto di acquisto, si impegna a leggere attentamente le caratteristiche dei prodotti che vengono illustrate nelle singole schede prodotto.

Prima della convalida dell’ordine con “obbligo di pagamento” il Cliente sarà informato con riferimento a:

- prezzo totale dei beni comprensivo delle imposte, con il dettaglio delle spese di spedizione e di ogni altro costo;

- modalità di pagamento;

- termine entro il quale Knot si impegna a consegnare la merce;

- condizioni, termini e procedure per esercitare il diritto di recesso (art. 7 delle presenti Condizioni) tramite modulo tipo di recesso di cui all’allegato I, parte B del D. Lgs. 21/2014;

- informazioni circa il costo della restituzione in caso di recesso a carico del Cliente e del Consumatore;

- esistenza della garanzia legale di conformità per i prodotti acquistati e delle garanzie commerciali previste da Knot.

ART.3: PROCEDURA D’ACQUISTO - CONCLUSIONE ED EFFICACIA DEL CONTRATTO

Il Cliente può acquistare i prodotti presenti sul sito www.læzi.com rispettando le procedure tecniche ivi illustrate. L’ordine inviato dal Cliente ha valore di proposta contrattuale e comporta la completa conoscenza ed accettazione delle Condizioni Generali di Vendita e di Utilizzo del Sito.

L’avvenuta corretta ricezione della proposta del Cliente è confermata da Knot mediante risposta automatica inviata all’indirizzo di posta elettronica comunicato dal Cliente, che conferma esclusivamente la corretta ricezione della proposta da parte del sistema informatico. Tale messaggio di conferma indicherà il “Numero Ordine Cliente” da utilizzarsi ad ogni successiva comunicazione con Knot. Il messaggio ripropone, oltre alle informazioni obbligatorie per legge, tutti i dati inseriti dal Cliente, il quale si impegna a verificarne la correttezza e a comunicare tempestivamente eventuali correzioni relative ai dati anagrafici e di spedizione.

Ciascun ordine può essere visionato dal Cliente registrato sul Sito nella propria area personale, immediatamente dopo l’invio dello stesso, qualora il cliente abbia perfezionato l’ordine come “Cliente Registrato”.

Ciascun contratto d’acquisto stipulato tra Knot e il Cliente deve ritenersi concluso con l’accettazione formale dell’ordine da parte di Knot. Knot ha la facoltà di accettare o meno, a propria discrezione, l’ordine inviato dal Cliente, senza che quest’ultimo possa avanzare pretese o diritti di sorta, neanche a titolo risarcitorio, in caso di mancata accettazione.

L’accettazione da parte di Knot si ritiene rilasciata mediante l’invio di un messaggio di posta elettronica all’indirizzo del Cliente entro 48 ore lavorative dall’inoltro dell’ordine.

Knot si impegna a descrivere ed a presentare gli articoli venduti sul sito nel miglior modo possibile.

Le fotografie dei prodotti presentati sul sito non costituiscono elemento contrattuale, in quanto da considerarsi solo rappresentative.

Knot precisa sin da ora che potrebbero evidenziarsi alcuni errori, imprecisioni o piccole differenze tra il prodotto raffigurato nel sito e il prodotto reale e questo non è motivo valido per segnalare il prodotto ricevuto come difettoso o non conforme.

Knot si impegna a consegnare i prodotti entro 7 giorni lavorativi in territorio italiano ed entro 10 giorni lavorativi all’estero decorrenti dall’invio della mail di accettazione dell’ordine al Cliente. Qualora i tempi di consegna indicati dovessero subire dei ritardi, Knot si impegna a darne comunicazione mediante messaggio di posta elettronica al Cliente all’indirizzo da questo indicato

ART.4: DISPONIBILITA’ PRODOTTI

La disponibilità dei prodotti sul sito è meramente indicativa, in quanto non aggiornata in tempo reale, per effetto della contemporanea presenza sul sito di più utenti oppure di un’eventuale anomalia informatica tale da rendere disponibile all’acquisito un prodotto che in realtà non lo è.

Casi di indisponibilità parziale o totale della merce potrebbero verificarsi anche in seguito all’invio della e-mail di conferma dell’ordine. In questa eventualità, Knot provvederà entro 48 ore lavorative a informare il Cliente via e-mail e quest’ultimo potrà valutare nelle successive 48 ore se effettuare un nuovo ordine con l’eliminazione del prodotto o dei prodotti non disponibili. In caso di mancata risposta alla predetta e-mail l’ordine si intenderà cancellato ed il Cliente riceverà tutte le indicazioni circa le modalità e le tempistiche di rimborso delle somme eventualmente già versate.

ART. 5: MODALITA’ DI PAGAMENTO

I pagamenti in esecuzione dei Contratti d’Acquisto stipulati attraverso il Sito potranno essere effettuati esclusivamente attraverso carta di credito, PayPal, oppure Apple Pay. Il Cliente sarà tenuto a scegliere, al momento della conclusione del Contratto, la modalità di pagamento preferita. Quest’ultima, una volta perfezionato il Contratto attraverso l’accettazione di Knot, non potrà più essere modificata.

Qualora Knot dovesse riscontrare problematiche relative al pagamento avviserà senza ritardo il Cliente, invitando quest’ultimo a inoltrare un nuovo ordine, selezionando un diverso metodo di pagamento, pur sempre tra quelli accettati.

-Pagamenti a mezzo di carta di credito: Qualora il Cliente proceda all’acquisto dei prodotti con pagamento del prezzo a mezzo di carta di credito, l’Istituto bancario di riferimento provvederà all’immediata verifica della validità della carta di credito, ma addebiterà l’importo complessivo corrispondente a ciascun Contratto solamente quando, con riferimento all’ordine del Cliente registrato, nell’area personale di quest’ultimo sul Sito comparirà la dicitura “Pronto per la spedizione”, o allorquando il Cliente non registrato riceva la e-mail di conferma di spedizione dell’ordine fermo restando che sulla carta di credito del cliente verrà effettuato il blocco preventivo della somma pari al corrispettivo del prodotto ordinato.

Le informazioni relative alla carta di credito dell’acquirente saranno trasmesse tramite connessione protetta direttamente al sito web dell’istituito bancario che gestisce la transazione. In modalità conforme alle normative di settore tali dati saranno acquisiti da _____ su richiesta di Knot ed utilizzati per procedere alle transazioni di pagamento.

Knot si riserva di richiedere in qualsiasi momento al Cliente informazioni integrative (es. numero di telefono) necessarie per l’esecuzione del contratto d’acquisto o l’invio della copia di documenti comprovanti la titolarità della carta di credito utilizzata per il perfezionamento del contratto. In mancanza dell’invio da parte del Cliente delle informazioni o della documentazione richiesta Knot si riserva la facoltà di non accettare l’ordine ovvero di recedere dal contratto perfezionato qualora il mancato invio delle informazioni non consenta l’esecuzione dell’ordine, dandone contestuale motivata comunicazione al Cliente all’indirizzo di posta elettronica comunicato.

-Pagamenti a mezzo PAYPAL : Qualora il Cliente scelga come mezzo di pagamento PayPal, egli sarà reindirizzato sul sito www.paypal.com dove eseguirà il pagamento dei prodotti in base alla procedura prevista e disciplinata da PayPal. I dati inseriti sul sito PayPal saranno trattati direttamente dalla stessa e non saranno trasmessi o condivisi con Knot.

In casi di risoluzione del contratto di acquisto e in ogni altro caso di rimborso, a qualsiasi titolo, l’importo del rimborso sarà accreditato sul conto PayPal del Cliente. I tempi di riaccredito sullo strumento di pagamento collegato a tale conto dipendono esclusivamente da PayPal e dal sistema bancario. Una volta disposto l’ordine di accredito a favore di tale conto, Knot non potrà essere ritenuta responsabile per eventuali ritardi od omissioni nell’accredito al Cliente dell’importo di rimborso, per contestare i quali il Cliente dovrà rivolgersi direttamente a PayPal.

In occasione del primo acquisto, verrà automaticamente attivata una particolare procedura denominata “Reference Transaction”, che – mediante un meccanismo di riconoscimento automatico del Cliente – gli consentirà di concludere eventuali successivi ordini con PayPal senza dover nuovamente inserire le proprie credenziali. Il Cliente potrà disattivare la “Reference Transaction” in qualsiasi momento recandosi nella specifica sezione del sito di Pay Pal (annullamento pagamenti ricorrenti).

-Pagamento a mezzo APPLE PAY: Qualora il Cliente scelga come mezzo di pagamento Apple Pay, egli sarà reindirizzato sul sito dove eseguirà il pagamento dei prodotti in base alla procedura prevista e disciplinata da Apple Pay. I dati inseriti sul sito Apple Pay saranno trattati direttamente dalla stessa e non saranno trasmessi o condivisi con Knot.

In casi di risoluzione del contratto di acquisto e in ogni altro caso di rimborso, a qualsiasi titolo, l’importo del rimborso sarà accreditato sul conto Apple Pay del Cliente. I tempi di riaccredito sullo strumento di pagamento collegato a tale conto dipendono esclusivamente da Apple Pay e dal sistema bancario. Una volta disposto l’ordine di accredito a favore di tale conto, Knot non potrà essere ritenuta responsabile per eventuali ritardi od omissioni nell’accredito al Cliente dell’importo di rimborso, per contestare i quali il Cliente dovrà rivolgersi direttamente a Apple Pay.[F4]

ART.6: PREZZI

Tutti i prezzi dei prodotti, espressi in Euro, sono chiaramente indicati sul Sito e si intendono comprensivi di IVA. I prezzi dei prodotti non includono ulteriori e diverse tasse, imposte o dazi disposti dalle relative legislazioni applicabili, quali quelle previste in materia di importazione, che saranno a carico del Cliente qualora previsti.

I costi di spedizione non sono compresi nel prezzo d’acquisto e sono indicati e calcolati al momento della conclusione del processo di acquisto prima dell’effettuazione del pagamento.

Knot ha facoltà di modificare i prezzi in qualsiasi momento, tuttavia, per gli ordini in corso di accettazione o accettati, si applicheranno le condizioni di vendita vigenti al momento dell’invio dell’ordine da parte del Cliente.

ART.7: ANNULLAMENTO ORDINI DI ACQUISITO - DIRITTO DI RECESSO

Annullamento Ordine di Acquisto: Il Cliente non Consumatore (Professionista) potrà annullare il proprio Ordine entro 14 giorni dalla conferma della ricezione dell’ordine. Il rimborso avverrà con lo stesso mezzo di pagamento utilizzato per la transazione iniziale. In caso di annullamento dell’Ordine, Knot provvederà a rimborsare al Cliente l’importo corrisposto, decurtate le eventuali spese di consegna.

Diritto di Recesso: Il Cliente Consumatore ha diritto di recedere dal Contratto di Acquisto per qualsiasi motivo e senza necessità di fornire spiegazioni entro 14 giorni dalla data di ricevimento dei prodotti, salvo il rispetto delle procedure di seguito indicate.

Qualora il Cliente Consumatore intenda esercitare il diritto di recesso libero dovrà inviare una segnalazione al Servizio Clienti tramite il modulo Contattaci disponibile al seguente link [F5] . Il Servizio Clienti fornirà tutte le indicazioni utili. Nel caso in cui il Cliente intenda esercitare il reso, dovrà seguire la medesima procedura appena descritta.

In entrambi i casi Knot comunicherà al Cliente all’indirizzo e-mail di quest’ultimo l’avvenuta conferma dell’annullamento dell’ordine o del recesso, con indicazione del numero di pratica di reso e l’indirizzo a cui spedire il prodotto reso.

La restituzione dovrà avvenire a cura del Cliente, attraverso la spedizione dei prodotti oggetto del recesso, a mezzo corriere di propria scelta. I prodotti dovranno essere spediti, con tutte le precauzioni di imballaggio necessarie alla corretta conservazione dei prodotti, entro e non oltre 14 giorni decorrenti dalla data in cui il Cliente ha comunicato la propria decisone di recedere dal contratto all’indirizzo indicato. I costi diretti della restituzione dei beni saranno a carico del Cliente.

Il Cliente sarà responsabile della diminuzione del valore dei Prodotti risultante da manipolazione del bene diversa da quella necessaria per stabilire la natura, le caratteristiche e il funzionamento dei beni.

Ai fini del valido esercizio dell’anzidetto diritto di recesso, il Cliente Consumatore dovrà rispettare le seguenti condizioni e modalità:

- il recesso potrà applicarsi anche limitatamente a singoli prodotti formanti oggetto di un unico Contratto d’Acquisto e, di conseguenza, il Cliente Consumatore potrà esercitare il recesso anche limitatamente ad un singolo prodotto acquistato;

- i prodotti formanti oggetto di Contratti d’Acquisto, in relazione ai quali il Cliente Consumatore abbia esercitato il diritto di recesso dovranno risultare integri e dovranno essere restituiti nella confezione originale, completa in tutte le sue parti (ivi compresi imballo e l’eventuale documentazione accessoria); in particolare, qualora i prodotti presentino dei sigilli di confezionamento, questi non dovranno risultare rotti o asportati;

- nel rispetto delle istruzioni ricevute da Knot, il Cliente Consumatore provvederà, a proprio esclusivo onere e cura nel caso di recesso libero ed a onere e cura di Knot nel caso di recesso per prodotti difettosi o non conformi, alla spedizione e restituzione dei prodotti a Knot.

- qualora il prodotto reso risulti danneggiato durante il trasporto, Knot sarà tenuta a dare comunicazione al Cliente Consumatore dell’accaduto allo scopo di consentirgli di sporgere tempestiva denuncia nei confronti del corriere da lui scelto, nei confronti del quale rivalersi. Knot non risponderà in alcun modo per furti o smarrimenti di prodotti oggetto di reso, ogni relativo rischio resterà, pertanto, ad esclusivo carico del Cliente Consumatore.

Una volta verificata l’integrità del prodotto restituito, Knot provvederà a rimborsare al Cliente Consumatore l’intero importo pagato per i prodotti di cui al Contratto d’Acquisto oggetto di recesso nonché le spese di consegna eventualmente sostenute entro 14 giorni dal rientro dei prodotti medesimi.

In caso di danneggiamento dei prodotti resi il Cliente Consumatore è responsabile esclusivamente della diminuzione del valore dei beni risultante da una manipolazione del bene diversa da quella necessaria per stabilirne la natura, le caratteristiche di funzionamento, nei limiti di quanto previsto dall’articolo 57, comma 2, del Codice del Consumo.

Il Cliente Consumatore acconsente espressamente a che i rimborsi sopra citati vengano effettuati mediante storno dell’importo addebitato sulla carta di credito indicata dal cliente oppure a mezzo PayPal, oppure a mezzo bonifico bancario, in conformità delle relative istruzioni e coordinate bancarie che saranno indicate dal Cliente Consumatore stesso.

In ogni ipotesi di mancato rispetto delle condizioni e delle modalità di esercizio del recesso previste dal presente articolo nonché in caso di danneggiamento dei prodotti per cause diverse dal trasporto dei medesimi anche se diverse dai casi previsti dall’articolo 57, comma 2 del Codice del Consumatore, il Contratto d’Acquisto resterà valido ed efficace e Knot provvederà a restituire al Cliente Consumatore mittente i prodotti indebitamente resi, addebitando allo stesso le relative spese di spedizione.

ART.8: GARANZIE LEGALI

Garanzia Legale per il Cliente Consumatore: Il Cliente Consumatore, così come definito nell’art. 3 del Codice del Consumo (D. Lgs. n. 206/05), ha diritto di avvalersi della garanzia legale prevista dal Codice del Consumo stesso agli articoli da 128 a 132.

Knot è responsabile nei confronti del Cliente Consumatore per eventuali difetti di conformità dei prodotti esistenti al momento della consegna, con particolare riguardo ai prodotti risultati difettosi o danneggiati, per i due (2) anni successivi alla consegna dei prodotti.

Il Cliente Consumatore decade dai diritti a lui riconosciuti se non denuncia a Knot il difetto di conformità rilevato entro due (2) mesi dalla data in cui ha scoperto il difetto.

Knot compirà ogni diligente sforzo per sostituire a propria cura e spese, con altri prodotti della medesima qualità disponibili nei propri magazzini quei prodotti consegnati che risultassero danneggiati o difettosi, sempreché, su richiesta di Knot, gli stessi siano stati resi dal Cliente nella confezione originale, completa di tutte le parti che la compongono. Nel caso in cui la sostituzione non fosse possibile (ad es. uscita dal catalogo del prodotto), Knot provvederà a rimborsare al Cliente l’importo pagato per il prodotto difettoso, esclusa ogni ulteriore responsabilità, a qualunque titolo, di Knot.

Garanzia Legale per il Cliente non Consumatore (Professionista): Il Cliente Professionista, così come definito dall’art. 3 del Codice del Consumo, ha diritto di avvalersi della Garanzia Legale prevista nel Codice Civile. Tale garanzia prevede che il Cliente non consumatore denunci a Knot l’eventuale vizio riscontrato nel prodotto acquistato entro otto (8) giorni dalla scoperta. La garanzia legale di cui sopra è valida per il termine massimo di dodici (12) mesi dalla consegna del prodotto. Oltre tale termine Knot non sarà responsabile dei vizi riscontrati dal Cliente non Consumatore. Per poter usufruire della predetta garanzia Knot raccomanda al Cliente di conservare e fornire il numero d’acquisito.

ART.9: MODALITA’ DI CONSEGNA

Tutte le consegne dei prodotti saranno a rischio di Knot. Il rischio si trasferirà al Cliente all’atto della consegna dei prodotti al Cliente, o a un terzo designato, da parte dello spedizioniere o del vettore incaricato da Knot. Il corriere designato da Knot è DHL. Le spese di spedizione saranno calcolate automaticamente dal Sito e saranno visionabili e conoscibili dal Cliente prima dell’invio dell’ordine. Le stesse variano da nazione a nazione e per l’Italia potranno variare in base al metodo di pagamento prescelto.

Per ciascun Contratto d’Acquisto perfezionato attraverso il Sito, Knot emetterà un buono di consegna (Ddt) ovvero, per i Clienti non Consumatori, che abbiano inserito la propria partita IVA, una fattura relativa ai prodotti che saranno spediti. Tale documentazione sarà disponibile all’interno dell’account del cliente.

Le consegne saranno effettuate secondo le seguenti modalità:

- 1° tentativo

-2° tentativo

Casi di forza maggiore, indisponibilità di mezzi di trasporto, nonché eventi imprevedibili o inevitabili che provochino un ritardo nelle consegne o rendano le consegne difficili o impossibili ovvero che causino un significativo aumento del costo di consegna a carico di Knot daranno diritto a quest’ultima di frazionare, rinviare o cancellare, in tutto o in parte, la consegna prevista ovvero risolvere il Contratto d’Acquisto. In tali ipotesi, Knot fornirà tempestiva ed adeguata comunicazione delle proprie determinazioni all’indirizzo e-mail fornito dal Cliente e quest’ultimo avrà diritto alla restituzione del prezzo eventualmente già corrisposto, esclusa qualsiasi ulteriore pretesa, a qualsiasi titolo, nei confronti di Knot.

ART.10: RESPONSABILITA’

Knot non assume alcuna responsabilità per disservizi imputabili a causa di forza maggiore o caso fortuito, anche ove dipendenti da malfunzionamenti o disservizi della rete internet, nel caso in cui non riesca a dare esecuzione all’ordine nei tempi previsti dal contratto.

ART. 11: COMUNICAZIONI E RECLAMI

Ogni comunicazione e/o reclamo potrà essere indirizzato a Knot tramite il form “Contattaci ”.

ART. 12: LEGGE APPLICABILE E FORO COMPETENTE – RISOLUZIONE EXTRAGIUDIZIALE DELLE CONTROVERSIE

Le presenti Condizioni Generali sono regolate dal Codice Civile, dal Codice del Consumo (D. lgs. n. 206/2005 e s.m.i.) e dalle norme in materia di commercio elettronico (D.Lgs. n. 70/2003 e s.m.i.). In caso di variazioni delle stesse si applicheranno le Condizioni Generali pubblicate sul Sito al momento dell’invio dell’Ordine da parte del Cliente.

Il contratto d’Acquisto tra il Cliente e Knot s’intende concluso in Italia ed è regolato dalla Legge Italiana.

Per qualsiasi controversia sarà esclusivamente competente l’Autorità Giudiziaria di Milano ad eccezione delle controversie con Clienti Consumatori che saranno di competenza dell’Autorità Giudiziaria del luogo di residenza o di domicilio del Cliente Consumatore.

Il Cliente Consumatore ha la facoltà di promuovere la risoluzione extragiudiziale delle controversie inerenti al rapporto di consumo presso gli istituti delle Camere di Commercio, Industria e Artigianato ai sensi della legge 29/12/1993 n. 580 nonché di ricorrere alle procedure di mediazione di cui al D. Lgs. 28/2010 e successive modifiche, alle condizioni previste dall’organismo scelto dal Cliente che amministrerà tale procedura.

ART. 13: TRATTAMENTO DATI PERSONALI (PRIVACY)

GENERAL PROVISIONS These General Conditions of Sale (hereinafter, General Conditions) are valid exclusively between KNOT S.R.L. (rea_______ and tax code / VAT number 03264720248), with registered office in Caldogno (VI), via Firenze n. 26, in the person of its pro-tempore legal representative, Roberto Lorenzi (hereinafter Knot) and any Customer and have as their object the regulation of the purchase of products and services, made via the internet, from the site www.læzi.com ( hereinafter Site). The products available on the site consist mainly of men's and women's clothing products (clothes, shoes, etc.) and accessories (jewelry, glasses, hats and bags) with the "knot" brand and sign. the sale of the aforementioned products. All the products and services offered are illustrated in detail on the home page of the Site within the respective sections. The provisions of these General Conditions apply equally to all customers, with the exception of provisions for which applicability to consumer customers has been expressly provided. "Consumer Customer" means the natural person who purchases the products or services offered by the Site for purposes unrelated to any business or professional activity carried out; for the purposes of these General Conditions it is assumed that the Customer who sends a purchase proposal is not a Consumer Customer by entering their VAT number as well as the SDI code in the area of the site relating to the Customer's personal data. Knot invites each Customer to carefully read these General Conditions before carrying out each purchase operation, and, once the purchase procedure provided for by the Site has been completed, to print them and keep a copy, also in electronic format, without prejudice to it being understood that in the order confirmation e-mail the Customer will receive, in any case, the link to access the web page where the General Conditions are published, and therefore can archive a copy of the aforementioned general conditions of sale, in force at the time of purchase, as required by art. 51, paragraph 1, of Legislative Decree 206/2005, as amended by Legislative Decree 21/2014. ART. 1: OBJECT OF THE CONTRACT - OFFER TO THE PUBLIC In compliance with and in compliance with these General Conditions, Knot sells and remotely purchases the products indicated and offered for sale on the website www.læzi.com. The contract is concluded exclusively through the internet, by accessing the customer at www.læzi.com and the creation of a purchase order according to the procedure provided by the site itself. The Customer, before confirming his order, undertakes to read these General Conditions and accept them by clicking on the 'Confirm Order' button, thus declaring that he has read and accepted these Conditions General. The products and services with the relative prices on the Site constitute an offer to the public in accordance with the procedures specified in the General Conditions and on www.læzi.com The conditions of this offer apply exclusively to purchases made on the website indicated above. ART. 2: PRE-CONTRACTUAL INFORMATION FOR THE CONSUMER pursuant to art. 49 of Legislative Decree no. 206/2005 The Customer, before the conclusion of the purchase contract, undertakes to carefully read the characteristics of the products that are illustrated in the individual product sheets. Before validating the order with "payment obligation", the Customer will be informed with reference to: - the total price of the goods including taxes, with details of shipping costs and any other costs; - terms of payment; - deadline within which Knot undertakes to deliver the goods; - conditions, terms and procedures for exercising the right of withdrawal (Article 7 of these Conditions) through the withdrawal form referred to in Annex I, part B of Legislative Decree 21/2014; - information about the cost of the return in case of withdrawal to be paid by the Customer and the Consumer; - existence of the legal guarantee of conformity for the products purchased and of the commercial guarantees provided by Knot. ART. 3: PURCHASE PROCEDURE - CONCLUSION AND EFFECTIVENESS OF THE CONTRACT The Customer can purchase the products on the website www.læzi.com by respecting the technical procedures described therein. The order sent by the Customer has the value of a contractual proposal and implies complete knowledge and acceptance of the General Conditions of Sale and Use of the Site. The correct receipt of the Customer's proposal is confirmed by Knot by means of an automatic reply sent to the address of e-mail communicated by the Customer, which only confirms the correct receipt of the proposal by the computer system. This confirmation message will indicate the “Number Customer Order "to be used at any subsequent communication with Knot. In addition to the information required by law, the message re-proposes all the data entered by the Customer, who undertakes to verify its correctness and to promptly communicate any corrections relating to personal and shipping data. Each order can be viewed by the Customer registered on the Site in their personal area, immediately after sending it, if the customer has completed the order as a "Registered Customer". Each purchase contract stipulated between Knot and the Customer must be considered concluded with the formal acceptance of the order by Knot. Knot has the right to accept or not, at its discretion, the order sent by the Customer, without the latter being able to make any claims or rights of any kind, not even as compensation, in the event of non-acceptance. Acceptance by Knot is deemed to have been issued by sending an e-mail electronic mail to the customer's address within 48 working hours of placing the order. Knot undertakes to describe and present the items sold on the site in the best possible way. The photographs of the products presented on the site do not constitute a contractual element, as they are to be considered only representative. In case of failure to reply to the aforementioned e-mail, the order will be considered canceled and the Customer will receive all the information on the methods and timing of reimbursement of any sums already paid. ART. 5: METHOD OF PAYMENT Payments in execution of the Purchase Contracts stipulated through the Site can only be made by credit card, PayPal, or Apple Pay. The Customer will be required to choose, at the time of conclusion of the Contract, the preferred payment method. The latter, once the Agreement has been completed through Knot's acceptance, can no longer be changed. Should Knot encounter problems relating to payment, it will notify the Customer without delay, inviting the latter to submit a new order, selecting a different payment method, even if it is always accepted. -Payments by credit card: If the customer purchases the products with payment of the price by credit card, the reference bank will immediately check the validity of the credit card, but will charge the total amount corresponding to each Contract only when, with reference to the order of the registered Customer, in the personal area of the latter the wording "Ready for shipment" will appear on the Site, or when the unregistered Customer receives the e-mail confirming the shipment of the order, it being understood that the customer's credit card will prevent the sum equal to the amount of ordered product. The information relating to the buyer's credit card will be transmitted via a secure connection directly to the website of the bank that manages the transaction. Knot reserves the right to request additional information from the Customer at any time (e.g. telephone number) necessary for the execution of the purchase contract or the sending of a copy of documents proving ownership of the credit card used for the completion of the contract . In the absence of sending by the Customer of the information or documentation required Knot reserves the right not to accept the order or to withdraw from the contract if the failure to send the information does not allow the execution of the order, giving contextually motivated communication to the Customer at the email address communicated . -Payments by PAYPAL: If the customer chooses PayPal as a means of payment, he will be redirected to the website www.paypal.com where he will pay for the products according to the procedure established and governed by PayPal. The data entered on the PayPal site will be processed directly by the same and will not be transmitted or shared with Knot. In the event of termination of the purchase agreement and in any other case of reimbursement, for any reason, the refund amount will be credited to the Customer's PayPal account. The re-credit times on the payment instrument connected to this account depend exclusively on PayPal and the banking system. One time once the credit order has been placed in favor of this account, Knot cannot be held responsible for any delays or omissions in crediting the customer with the refund amount, to dispute which the customer must contact PayPal directly. On the occasion of the first purchase, a particular procedure called "Reference Transaction" will be automatically activated, which - through an automatic recognition mechanism of the Customer - will allow him to conclude any subsequent orders with PayPal without having to re-enter his credentials. The Customer can deactivate the "Reference Transaction" at any time by going to the specific section of the Pay Pal site (cancellation of recurring payments). -Payment by APPLE PAY: If the Customer chooses Apple Pay as a means of payment, he will be redirected to the site where he will pay for the products according to the procedure provided and governed by Apple Pay. The data entered on the site Apple Pay will be processed directly by Apple Pay and will not be transmitted or shared with Knot. In the event of termination of the purchase agreement and in any other case of reimbursement, for any reason, the refund amount will be credited to the Customer's Apple Pay account. The timing of re-credit on the payment instrument connected to this account depends exclusively on Apple Pay and the banking system. Once the credit order has been placed in favor of this account, Knot cannot be held responsible for any delays or omissions in crediting the Customer with the refund amount, to dispute which the Customer must contact Apple Pay directly. [ F4] ART.6: PRICES All product prices, expressed in Euros, are clearly indicated on the Site and are inclusive of VAT. The prices of the products do not include additional and different taxes, duties or duties established by the relevant applicable laws, such as those provided for in importation, which will be charged to the Customer if provided. In both cases Knot will communicate to the Customer at the e-mail address of the latter the confirmation of the cancellation of the order or of the withdrawal, indicating the return file number and the address to which the returned product should be sent . The return must be made by the Customer, through the shipment of the products covered by the withdrawal, by courier of his choice. The products must be shipped, with all precautions of packaging necessary for the correct storage of the products, no later than 14 days from the date on which the Customer communicated his decision to withdraw from the contract at the address indicated. The direct costs of returning the goods will be borne by the customer. The Customer will be responsible for the decrease in the value of the Products resulting from handling the goods other than that necessary to establish the nature, characteristics and functioning of the goods. For the purposes of the valid exercise of the aforementioned right of withdrawal, the Consumer Customer must comply with the following conditions and methods: - the withdrawal may also apply limited to individual products forming the subject of a single Purchase Agreement and, consequently, the Consumer Customer may exercise the withdrawal even limited to a single product purchased; - the products forming the subject of Purchase Agreements, in relation to which the Consumer Customer has exercised the right of withdrawal must be intact and must be returned in the original packaging, complete in all its parts (including packaging and any additional documentation); in particular, if the products have packaging seals, these must not be broken or removed; - in compliance with the instructions received from Knot, the Consumer Customer will, at his own exclusive charge and care in the case of free withdrawal and at Knot's expense and care in the case of withdrawal for defective or non-compliant products, for the shipment and return of Knot. - if the returned product is damaged during transport, Knot will be required to notify the Consumer Customer of the incident in order to allow him to promptly file a complaint against the courier he has chosen, against which to claim. Knot will not be liable in any way for theft or loss of returned products, any related risk it will therefore remain the sole responsibility of the Consumer Customer. Once the integrity of the returned product has been verified, Knot will refund the Consumer Customer the full amount paid for the products referred to in the Purchase Agreement subject to withdrawal as well as any delivery costs incurred within 14 days of the return of the products themselves. . In case of damage to the returned products, the Consumer Customer is solely responsible for the decrease in the value of the goods resulting from the handling of the goods other than that necessary to establish their nature, operating characteristics, within the limits of the provisions of Article 57, paragraph 2, of the Consumer Code. The Consumer Customer expressly agrees that the aforementioned refunds are made by transferring the amount charged to the credit card indicated by the customer or by PayPal, or by bank transfer, in accordance with the relevant instructions and coordinates banking that will be indicated by the Consumer Customer himself. In any case of non-compliance with the conditions and methods of exercising the withdrawal provided for in this article as well as in the event of damage to the products for reasons other than transport of the same even if different from the cases provided for in article 57, paragraph 2 of the Consumer Code , the Purchase Agreement will remain valid and effective and Knot will return the products unduly returned to the Consumer Customer, charging the relative shipping costs to the same. ART. 8: LEGAL GUARANTEES Legal Guarantee for the Consumer Customer: The Consumer Customer, as defined in art. 3 of the Consumer Code (Legislative Decree no. 206/05), has the right to make use of the legal guarantee provided for by the Consumer Code itself in articles 128 to 132. Knot is liable to the Consumer Customer for any lack of conformity of the products existing at the time of delivery, with particular regard to products found to be defective or damaged, for the two (2) years following the delivery of the products. The Consumer Customer loses the rights recognized to him if he does not report the lack of conformity detected to Knot within two (2) months from the date on which he discovered the defect. Knot will make every diligent effort to replace at its own expense, with other products of the same quality available in its warehouses, those products delivered that are damaged or defective, provided that, at Knot's request, the same are been returned by the Customer in the original packaging, complete with all the parts that compose it. In the event that the replacement is not possible (eg exit from the product catalog), Knot will refund the customer the amount paid for the defective product, excluding any further liability, for any reason, of Knot. Legal Guarantee for Non-Consumer Customer (Professional): The Professional Customer, as defined by art. 3 of the Consumer Code, has the right to avail itself of the Legal Guarantee provided for in the Civil Code. This guarantee provides that the non-consumer Customer denounces to Knot any defect found in the product purchased within eight (8) days of discovery. The above legal guarantee is valid for a maximum period of twelve (12) months from the delivery of the product. Beyond this term Knot will not be responsible for defects found by the non-Consumer Customer. In order to take advantage of the aforementioned guarantee, Knot recommends to the Customer to keep and provide the purchase number. ART. 9: METHOD OF DELIVERY All deliveries of products will be at Knot's risk. The risk will be transferred to the Customer upon delivery of the products to the Customer, or to a designated third party, by the shipper or carrier appointed by Knot. Knot's designated courier is DHL. The shipping costs will be calculated automatically by the Site and will be viewable and known by the Customer before sending the order. ART. 10: LIABILITY Knot assumes no responsibility for disservices attributable to force majeure or unforeseeable circumstances, even if dependent on malfunctions or disservices of the internet, in the event that it fails to execute to order within the time stipulated in the contract. ART. 12: APPLICABLE LAW AND JURISDICTION - EXTRA-JUDICIAL RESOLUTION OF DISPUTES These General Conditions are governed by the Civil Code, the Consumer Code (Legislative Decree no. 206/2005 and subsequent amendments) and by the rules on electronic commerce (Legislative Decree no. 70/2003 and subsequent amendments). In the event of changes in the same, the General Conditions published on the Site at the time the Order is sent by the Customer will apply. The Purchase Agreement between the Customer and Knot is concluded in Italy and is governed by Italian law. The Milan Judicial Authority will be exclusively competent for any dispute, with the exception of disputes with Consumer Customers which will be the responsibility of the Judicial Authority of the place of residence or domicile of the Consumer Customer. The client Consumer has the right to promote the out-of-court resolution of disputes relating to the relationship of consumption at the institutes of the Chambers of Commerce, Industry and Handicraft in accordance with the law 29/12/1993 n. 580 as well as to resort to the mediation procedures referred to in Legislative Decree 28/2010 and subsequent amendments, under the conditions provided for by the body chosen by the Client who will administer this procedure.
